13. a. All the properties, movable and immovable, shall be vested with the Governing Body.
b. The management of the business and affairs of the APS shall be vested in the Governing Body, who shall exercise all such powers and authority of the APS as are not specifically and expressly vested by these Rules and Regulations in General Body of the APS
c. The governing Body shall have such powers and shall perform all such functions as are necessary or proper for the achievement and furtherance of the objects of the APS.
d. Without prejudice to the generality of the foregoing provisions, the Governing Body shall have following rights and powers :
1 To acquire by gift, purchase, exchange, lease or otherwise, lands, buildings or other immovable property together with all rights appertaining thereto, in furtherance of objects.
2 To construct and maintain buildings, including right to alter or improve them and to equip them suitably.
3 To manage the properties of the APS.
4 To accept donations or grants, whether in cash or in kind, contributions, subscriptions and endowments on such terms and subject to such conditions as the Governing Body may think proper.
5 To establish and collect funds and accept donations in cash or kind and utilize the same and the income there from for the purposes of the APS
6 To receive moneys, securities, instruments, and / or other movable property for and on behalf of the APS; the prior permission shall be obtained in case of securities or deposits as required under the provision of B. P. T. Act, 1950.
7 To enter into agreement for and on behalf of the case of the APS
8 To sure and define all legal proceedings pertaining to APS on behalf of the APS
9 To employ, transfer, remove employees and to institute a provident fund, gratuity fund other welfare / retirement benefits for the benefit of the employees of the APS and manage such provident fund, gratuity fund etc.
10 To grant receipts, to sign and execute instruments and to endorse or discount cheques or other negotiable instruments through its accredited agents
11 To make, sign and execute all such documents and instruments as may be necessary or proper for carrying on the management of the property or affairs of the APS and to draw, make accept, endorse, discount, execute and other negotiable or transferable instruments
12 To control and administer the property and the funds of the APS and any surplus funds, not needed for undertaking the objects of APS only as per the provisions of the Bombay Public Trust Act, 1950
13 To purchase, or take by way of lease, sub lease, gift exchange, hire or otherwise acquire any movable or immovable property, and in particular any lands, buildings, workshops, factories, laboratories, machinery, equipment, furniture, scientific records, experimental data, library, plants, apparatuses, appliances and any rights or privileges necessary or convenient for the purposes of the APS and to construct, erect, alter, improve and maintain any buildings and to manage, develop, sell, demise, let, mortage, dispose of, turn to account or otherwise deal with all or any other consideration with a view of promoting the objects of the APS
14 To use funds and assets of the APS in the employment of persons of learning or skill and materials and appliances and of any of the assets of the APS for scientific, industrial and engineering research and such other purposes
15 To grant fellowship, scholarship, or the monetary assistance on such terms and conditions as it may prescribe to the past and present students and staff of Walchand College of Engineering, Sangli, as it may select or study on a subject in which the APS is interested
16 To manage, sell, transfer or otherwise dispose of any property, movable or immovable of the APS; subject to the previsions of Bombay Public Trust Act, 1950
17 To assign from time to time, such functions and duties and delegate such powers, as it may deem fit, to any person or persons or members, of the subcommittees, their travel expenses and other out of pocket expenses incurred by them in the performance of their functions.
18 To prescribe the powers, functions and duties of the President, Vice President, Secretary, Jt. Secretary, Treasurer and / or any other office bearer.
19 To borrow moneys for the purpose of research and to co-operate, amalgamate with other institutions having same or similar object with the prior permission of the Charity Commissioner, Poona
20 To perform all such acts and do all such things as may be necessary for the proper management of the properties and the affairs of the APS
21 To appoint an auditor or auditors for auditing the accounts of the APS and to report thereto.
22 To create new and abolish existing post paid or employee in any office, award any punishment, sanction any promotions or demotions, direct transfers, retirements, grant leave, grant extension in office and / or in service
23 Generally do such things, as it may consider necessary or expedite for the purpose of carrying out the objects of the APS.
The governing Body shall have power to make by-laws in respect of the following matters :
1 the management of the properties, funds, affairs and work of the APS
2 the conditions and procedures under, and according to, which members of the Governing Body are to be elected.
3 the conditions and procedures under, and according to, which classes of the members of the APS may be enrolled.
4 the subscription, if any, to be paid by the different classes of the members.
5 the rights, duties and privileges of the classes of the members.
6 the procedure for the election of members to the Governing Body including, if it deems fit, for postal voting.
7 the procedure for the convening and the conduct of meetings of the Governing Body and such other bodies as may be set up from time to time, including provision of the transaction of business by circulation of papers, as may be deemed fit
8 such other purpose as may be found necessary.
The Governing Body alone shall have power to repeal, amend and modify the bye-laws and any such amendments, modifications to the bye-laws, will be rectified in AGM/EGM immediately following such amendments.
The President shall exercise general control over the affairs of the APS and shall give effect to the decisions of the Governing Body.If, in the opinion of the President, any emergency has risen which requires that immediate action should be taken the President shall take such action as he deems necessary, inform the members of the Governing Body and shall report the same for confirmation at the next meeting of the Governing Body which in the ordinary course, would have dealt with the matter
